By accessing or using any services provided by DEV.ink ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. We reserve the right to modify these terms at any time, and your continued use of our services constitutes acceptance of any changes.
2. Description of Services
DEV.ink provides software development, consulting, and related technology services. The specific scope of services for each engagement will be defined in a separate statement of work or agreement signed by both parties. These Terms govern your general use of our website and any services we provide.
3. Use of Our Website
You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others. You must not misuse our website by introducing viruses, trojans, or other malicious code; attempt to gain unauthorised access to any part of our systems; or engage in any conduct that restricts or inhibits anyone's use or enjoyment of the website.
4. Intellectual Property
All content on our website, including text, graphics, logos, and software, is the property of DEV.ink or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission. Upon full payment for a project, we assign all intellectual property rights in custom-developed deliverables to the client, as outlined in the applicable project agreement.
5. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during an engagement and not to disclose such information to third parties without prior written consent. This obligation survives the termination of any project agreement for a period of two (2) years.
6. Payment Terms
Fees for services are specified in individual project agreements or statements of work. Unless otherwise agreed, invoices are due within 30 days of the invoice date. We reserve the right to suspend work on any project where payment is overdue by more than 14 days.
7. Warranties and Disclaimers
We strive to deliver high-quality work and warrant that our services will be performed in a professional and workmanlike manner. However, our website and any general informational content are provided "as is" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
8. Limitation of Liability
To the fullest extent permitted by law, DEV.ink shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising out of or in connection with your use of our services. Our total cumulative liability for any claim shall not exceed the total fees paid by you in the three months preceding the claim.
9. Termination
Either party may terminate a project engagement with 30 days' written notice. Upon termination, you will be invoiced for all work completed up to the termination date. We reserve the right to terminate access to our website immediately if we believe you are in breach of these Terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in our principal place of business, unless otherwise agreed in writing.
